Merchant's Agreement

1. DEFINITION              

1.1 “Client” refers to any brand, agency, or entity engaging YToday’s services.
1.2 “Campaign” refers to any influencer marketing, seeding, or digital marketing activity executed via YToday.
1.3 “Creators” refers to influencers, content creators, or seeders engaged through YToday.
1.4 “Platform” refers to YToday’s systems, dashboards, or services.

2. SCOPE OF SERVICES

2.1 YToday provides influencer marketing, seeding campaigns, and related digital marketing services.

2.2 Services may include:

  • Creator sourcing & matching
  • Campaign strategy & execution
  • Content coordination
  • Reporting & analytics

2.3 YToday acts as an intermediary platform/agency, connecting Clients with Creators.

3. CAMPAIGN ENGAGEMENT

3.1 Each Campaign will be governed by:

  • A quotation / proposal
  • Campaign brief
  • Agreed deliverables

3.2 The Client agrees that:

  • Deliverables must be clearly defined before campaign launch
  • Any changes after confirmation may incur additional fees

3.3 YToday reserves the right to:

  • Reject campaigns that violate laws, platform policies, or ethical standards

4. CREATOR ENGAGEMENT & RESPONSIBILITY

4.1 YToday will use reasonable efforts to match suitable Creators.

4.2 However:

  • Creators are independent contractors, not employees of YToday
  • YToday does not guarantee specific performance metrics (e.g. sales, virality)

4.3 The Client acknowledges:

  • Creator content is subject to platform algorithms and audience behavior
  • Engagement and results are not guaranteed

5. CONTENT & APPROVAL

5.1 Content may be:

  • Pre-approved (if agreed), or
  • Published based on Creator’s style and guidelines

5.2 The Client must:

  • Provide clear brand guidelines and restrictions upfront

5.3 YToday is not responsible for:

  • Minor deviations in tone/style typical of influencer content

6. PAYMENT TERMS

6.1 Payment structure:

  • Full payment or deposit required before campaign commencement (unless agreed otherwise)

6.2 Payment includes:

  • Creator fees
  • Platform/service fees
  • Any agreed additional costs

6.3 Late payment:

  • YToday reserves the right to suspend or delay campaigns

6.4 All payments are:

  • Non-refundable once campaign has commenced

7. CONTENT OWNERSHIP & USAGE RIGHTS

7.1 Unless otherwise agreed:

  • Creators retain ownership of content

7.2 The Client is granted:

  • A limited, non-exclusive license to use content for marketing purposes

7.3 Paid ads / whitelisting:

  • Require additional rights and fees

8. CONFIDENTIALITY

8.1 Both parties agree to:

  • Keep all confidential information private

8.2 This includes:

  • Campaign data
  • Pricing
  • Creator details

9. EXCLUSIVITY 

9.1 Exclusivity (if applicable):

  • Must be clearly stated in campaign agreement

9.2 Scope may include:

  • Industry
  • Duration
  • Platforms

10. COMPLIANCE & DISCLOSURE

10.1 All campaigns must comply with:

  • Advertising laws
  • Platform policies (TikTok, Instagram, etc.)

10.2 Creators must:

  • Clearly disclose sponsored content (e.g. #ad, #sponsored)

11. PERORMANCE & REPORTING 

11.1 YToday may provide:

  • Campaign reports
  • Engagement metrics

11.2 However:

  • Metrics are based on third-party platforms and may vary

12. LIMITATION OF LIABILITY 

12.1 YToday shall not be liable for:

  • Indirect or consequential losses
  • Platform algorithm changes
  • Creator misconduct beyond reasonable control

12.2 Total liability (if any) shall not exceed:

  • Amount paid by Client for the Campaign

13. TERMINATION

13.1 Either party may terminate:

  • Before campaign start (subject to agreed fees)

13.2 Once campaign has started:

  • Fees are non-refundable

13.3 YToday may terminate immediately if:

  • Client breaches terms
  • Campaign is unlawful or unethical

14. FORCE MAJEURE

YToday shall not be liable for delays caused by:

  • Platform outages
  • Government restrictions
  • Events beyond reasonable control

15. GOVERNING LAW

This Agreement shall be governed by the laws of Malaysia.

16. AMENDMENTS

YToday reserves the right to:

  • Update these Terms at any time

Continued use of services constitutes acceptance.
